Process — Step by step

  1. Initial consultation and structure decision. We listen to your business model; we determine the company type, ownership structure and business activity.
  2. Name and activity definition. We prepare alternatives for the company name and check availability.
  3. Preparation of incorporation documents. We draft the articles of association and annexes, and complete notary approval.
  4. Business registry registration. The company is registered with the Central Business Registry (CRPS).
  5. Tax registration (PIB) and VAT. The tax ID number is obtained; VAT registration is done according to your activity.
  6. Seal and ledgers. The official seal and statutory ledgers are prepared.
  7. Bank account. We direct you to a suitable bank, prepare the application documents and accompany you at the account opening.
  8. Readiness to operate. Executive director appointment, start-of-business notifications and any additional permits are completed; the accounting setup is established.

Minimum capital for a DOO in Montenegro is symbolic (from €1). Once documents and official steps are complete, incorporation usually concludes quickly (typically a range of a few business days to a few weeks, depending on legislation and document status — not a commitment).

  • An important rule for residence via a company: With the changes effective 17 January 2026, for foreigners holding more than 51% of shares or who are the executive director to renew the integrated work–residence permit, the company must have paid at least €5,000 in tax and social security in the previous year (EU/EFTA/Switzerland citizens are exempt). The company must therefore carry a genuine activity and a minimum tax base.
  • There is a double-taxation treaty between Türkiye and Montenegro.

Frequently asked questions

Do I need to be in Montenegro to form a company?
Most steps can be handled remotely by power of attorney. Only at the bank account opening do you generally need to be present in person, per the bank's policy; we accompany you in this step.
What is the minimum capital?
For a DOO, the minimum capital is symbolic and starts at €1. The real cost is not the capital but the formation and subsequent accounting/compliance expenses.
Does forming a company automatically grant me residence?
No. The company provides a basis for a residence application; but residence is a separate process, and from 2026 a minimum €5,000 tax/social-security requirement applies for renewal via a company. We assess your situation together in our Residence & Work Permit service.
Am I required to hire a local accountant?
In practice, yes. Regular accounting, VAT and year-end filings in Montenegro are done according to local legislation; we handle this with our Accounting & Bookkeeping service.
What if I later want to close the company?
